Recommendation: The asking price should be a reasonable market price. If there is no interest after 3 months, the Agent will arrange a price review with the Property Owner to adjust it to market conditions.

Agent Appointment & Scope of Work Agent Appointment & Scope

The Property Owner agrees to appoint Proview Co., Ltd. as the Exclusive Agent for the sale of the property specified in Clause 2.
Agent's Duties
  • Finding Qualified Buyers
  • Marketing through online media, websites, social media, and the Agent's channels
  • Screening buyers' financial readiness, property viewing
  • Negotiating on behalf of the Property Owner, preparing contracts, coordinating with banks
  • Overseeing until the transfer of ownership registration at the Land Office

Property Owner's Duties: Cooperate with property viewings, prepare relevant documents, and immediately inform the Agent if interested buyers contact directly.

Commission Structure Commission Structure

Standard Commission Rate 3% of the net sale price
Special Rate (Speed Premium) 4% If the sale is closed and ownership transferred within 90 days from the signing date
Commission Payment — In 2 installments
Installment Amount Payment Due
Installment 1 50% of the commission Deducted from the deposit when the buyer places a deposit
Installment 2 Remaining 50% Paid on the day of ownership transfer registration at the Land Office
Payment Method: Cash / Cashier's check payable to Proview Co., Ltd. or transfer to Kasikornbank account no. 226-1-27944-7 account name Proview Co., Ltd.
Co-Agent (if any): If there is a co-agent helping to find a buyer, the commission remains the same at 3–4%. The Property Owner does not pay extra; the Agent will share from their own portion.

Contract Duration Contract Duration

Period Duration Details
Exclusive Period 6 – 12 Months Depending on property value, from the signing date
Protection Period 180 Days After contract termination, if a buyer introduced by the Agent proceeds with the purchase, the commission must be paid at the agreed rate.
Contract Signing Date
Contract becomes effective. Agent begins marketing the property.
Month 3 — Price Review
If no interest yet, Agent will arrange a price review with the Property Owner to match the market.
Month 6 – 12 — End of Exclusive Period
Enters Protection Period of 180 days.
180 Days After End — End of Protection Period
All obligations cease. Property Owner can proceed independently.

Right to Sell to Existing Clients Reserved Clients

If the Property Owner has existing interested buyers, they can inform the Agent of these names on the signing date to reserve the right to sell independently.

After 30 days Must sell through the Agent 3 – 4% at the normal rate
Condition: The Property Owner must provide a written list of existing clients (Reservation List) on the contract signing date. Failure to do so means no reserved clients.

Breach & Penalties Breach & Penalties

Prohibitions during the contract term: Throughout the contract period, the Property Owner agrees not to perform the following actions:
  • Selling the property independently without going through the Agent
  • Appointing another person or agent to sell on their behalf
  • Providing personal contact information directly to buyers to circumvent the Agent

If breached, the Property Owner agrees to pay damages as follows:

Type of Breach Damages
Selling independently or through another party, where the Agent has not yet marketed 1.5% of the sale price
Selling independently or through another party, where the Agent has marketed 3% of the sale price (full commission)
Providing personal contact information to buyers to circumvent the Agent 3% + 1.5% of the sale price
Example: Property price 10,000,000 Baht → If no marketing yet, pay 150,000 Baht (1.5%) / If marketed, pay 300,000 Baht (3%) / If buyer's number given, pay 450,000 Baht (3% + 1.5%)

Cancellation Terms Cancellation Terms

Canceling Party Effect on Commission
Prospective Buyer cancels The 1st installment of commission already received by the Agent is not refundable, as it is considered payment for services rendered.
Property Owner requests early cancellation (Agent has not breached terms) Must pay marketing compensation of 1% of the sale price
Property Owner cancels after the buyer has placed a deposit Must be responsible for the full commission of 3–4% as the Agent has completed their duties.
Note: The 1% marketing compensation covers the cost of photography, drone footage, video, and advertising already undertaken by the Agent.

General Terms General Terms

This contract terminates when:
  • The Exclusive Period + Protection Period expires.
  • The property is successfully sold and ownership is transferred.
  • The contract parties mutually agree in writing to terminate.
Confidentiality
The contract parties agree not to disclose property information, prices, and sale conditions to third parties, unless necessary for the execution of this contract.
Dispute Resolution
In case of any dispute, the contract parties agree to negotiate a mutual resolution first. If an agreement cannot be reached, Thai law shall apply and legal proceedings shall be followed.

Both parties certify that they have the authority to sign this agreement. All information is accurate and true. This agreement is made in two copies, both with identical content. The contract parties have read and understood it well, and therefore affix their signatures as evidence in the presence of witnesses.
