Objective & Duties

Article 1 — Purpose of the Agreement
The Lessor agrees to appoint the Agent to procure tenants, manage, and provide consultation regarding the real estate specified in "Attachment A" (hereinafter referred to as "the Property").
Property for Rent: Specify details as per Attachment A — Type, Title Deed/Document No., Location, Area, Rent/Month, Initial Lease Term
Article 2 — Duties of the Agent
  • Conduct advertising, public relations, and marketing through various suitable channels.
  • Contact interested tenants, conduct property viewings, and provide advice to prospective tenants.
  • Report progress of operations to the Lessor periodically.
  • Perform duties with honesty, professionalism, and maintain the confidentiality of the Lessor's information.
  • Maintain the confidentiality of the Lessor and property information.
  • In cases where other brokers (Co-Agents) wish to present prospective tenants, such other brokers must contact the Agent only. Direct contact with the Lessor is prohibited.
Article 3 — Duties of the Lessor
3.1 Facilitate Property Viewings — Facilitate the Agent's access to inspect, photograph, video record, and collect property data for marketing purposes, including handing over keys, key cards, or passcodes (if any) to the Agent.

3.2 Disclose Accurate Property Information and Related Documents — The Lessor agrees to disclose accurate, complete, and truthful information about the property, including
  • Details of ownership/title deeds and legal status of the property.
  • Utility information: water, electricity, internet access, parking.
  • Important conditions affecting the lease, such as no pets, alterations, use of space, business operations, etc.
  • Related documents such as a copy of the title deed, floor plans/designs, permits (if any).

3.3 Allow Installation of "For Rent" Signage — Consent to the Agent installing a "for rent" sign at the front of the property or at a suitable location.

3.4 Maintain Property in Rentable Condition — The Lessor agrees to maintain the property in a tidy, clean, safe, and suitable condition for presentation to tenants for viewing.
  • Maintain cleanliness inside and out, and the surrounding area.
  • Ensure readiness of basic systems such as electricity, water, doors, windows, and security.
  • Repair/renovate as necessary to enable rental in the agreed-upon condition.
Important: All costs for preparing the property for rent are the sole responsibility of the Lessor.
3.5 If there are existing tenants, inform the Agent of their status — Including start-end dates of the original lease, status of rent/security deposit payments, conditions for property viewings.

3.6 Enter into a Lease Agreement with a Tenant Procured by the Agent — Once a tenant procured by the Agent is approved by the Lessor, the Lessor agrees to
  • Enter into a lease agreement under mutually agreed terms.
  • Prepare and sign documents within a reasonable timeframe.
  • Not refuse to enter into an agreement without reasonable cause, once the tenant has been confirmed.

Commission & Expenses

Article 4 — Commission
4.1 Commission rate based on initial lease term

4.2 Conditions for Commission Payment — The right to receive commission arises immediately upon signing of the lease agreement and when the Lessor has received the security deposit or advance rent from the tenant. The Lessor must pay the commission on the same day the lease agreement is signed, or within 3 business days.

4.3 Lease Renewal — If the existing tenant procured by the Agent renews the lease, the Agent is entitled to commission at the rate in Article 4, based on the extended lease term.

4.4 Protection of Rights after Agreement Termination — If a client whom the Agent previously showed the property to or contacted subsequently enters into a lease agreement with the Lessor within 180 days after the termination of this agreement, the Lessor agrees to pay the Agent the full commission as per the rate in Article 4.
Payment: Transfer funds to Kasikornbank account 226-1-27944-7, account name Proview Co., Ltd., or pay by cashier's check made payable to the Agent.
Article 5 — Advertising and Intellectual Property
5.1 The Agent is responsible for initial advertising and marketing costs, unless otherwise agreed upon in writing.

5.2 Photographs, videos, or virtual tours created by the Agent are considered the "intellectual property of the Agent" indefinitely. If the Lessor wishes to use them after the termination of the agreement, prior consent and agreement on costs with the Agent must be obtained.
Article 6 — Property Preparation
6.1 Costs for preparing the property for rent (e.g., cleaning, landscaping, mowing, repairs) are the sole responsibility of the "Lessor."

6.2 If the Agent pre-pays any costs for preparing the property for rent, the Lessor agrees to reimburse the Agent within 7 days from the date of notification with supporting evidence.

Term & Rights

Article 7 — Term of Agreement
7.1 This agreement shall be for a period of 6 months, commencing from _________ to _________.

7.2 Throughout the term of this agreement, the Lessor agrees to appoint the Agent as the sole and exclusive agent. The Lessor shall not appoint any other person or enter into a lease agreement directly without the Agent.

7.3 Protection of Rights after Agreement Termination — If a client previously contacted by the Agent enters into a lease agreement within 180 days from the agreement's termination date, the Lessor agrees to pay the commission as specified in Article 4 in full.
Note: The Agent will provide a "list of prospective tenants" to the Lessor within 15 days after the agreement ends. If the signing of the agreement is delayed beyond 180 days but there is evidence that the process began within the stipulated period, the Agent is still entitled to the commission.
Article 8 — Exclusive Rights and Exceptions
8.1 Reserved Clients
  • The Lessor must notify the Agent in writing of the names of "reserved clients" in "Attachment B" before the commencement date of the agreement to reserve the right to lease the property themselves within 30 days.
  • If the Lessor successfully leases the property to a reserved client within the first 30 days, the Lessor agrees to pay a "management and consultation fee" of 10,000 Baht within 7 days.
  • If the 30-day period expires or the Agent successfully leases the property, the Agent is entitled to the full commission at the normal rate as specified in Article 4.
8.2 In case of Lessor's Infringement of Rights (Leasing to Another Party Directly) — If the Lessor proceeds to lease the property to a party other than a "reserved client" without going through the Agent, the Lessor agrees to pay a "compensation for damages" at the rate of 50% of 1 month's rent within 7 days.

Termination & Default

Article 9 — Rent Review
If within 3 months from the commencement date of the agreement, there are no interested tenants for the property under the specified conditions, the Lessor agrees to review the rental rate and lease terms with the Agent, based on the prevailing real estate market conditions (Market Price).
Article 10 — Termination of Agreement and Penalties
10.1 Termination of Agreement: The Lessor has no right to terminate the agreement before the expiry of the 6-month period, except in cases where the Agent breaches the agreement or neglects to perform duties as per Article 2. In such cases, the Lessor must issue a written notice to the Agent to rectify the breach within 15 days. If the Agent fails to comply, the Lessor then has the right to terminate the agreement.
10.2 Compensation for Unjustified Termination
1. Operational and Marketing Costs — To be paid based on actual incurred costs, but not less than 20,000 Baht or 30% of 1 month's rent, whichever is higher.
2. Marketing Management Compensation — In cases where the property has been widely publicized and known in the market, the Lessor agrees to pay additional compensation of 50% of 1 month's rent.
Article 11 — Default of Contracting Parties
11.1 Default by "Tenant" — If a tenant procured by the Agent has placed a booking fee or deposit but subsequently refuses to enter into a lease agreement, the Lessor agrees to share 50% of the forfeited deposit with the Agent (not exceeding the commission amount in Article 4) within 7 days.

11.2 Default by "Lessor" — If the Agent successfully procures a tenant under the agreed terms, but the Lessor changes their mind and refuses to lease the property, the Lessor agrees to pay the Agent the full commission (100%) as per Article 4, as the Agent is deemed to have fully performed their duties.

Warranties & Miscellaneous

Article 12 — Warranty of Information and Liability
12.1 The Lessor hereby warrants and confirms that all information and details concerning the real estate, including title deeds, legal status, and condition of the property provided to the Agent, are true and accurate in all respects.

12.2 If it is later discovered that the lease must be canceled or the lease agreement terminated due to the Lessor concealing facts or providing false information, the Lessor shall be solely responsible for the damages and agrees to pay a "time compensation" to the Agent of not less than 20,000 Baht or 30% of 1 month's rent (whichever is higher), along with reimbursement of all marketing expenses within 7 days.
Article 13 — Miscellaneous Provisions
  • Any future changes to terms or compensation must be made in writing.
  • The Agent will provide an "initial marketing plan" to the Lessor for their acknowledgment.
Article 14 — Attachments
  • Attachment A: Details of Property for Rent
  • Attachment B: List of Reserved Clients (if any)

This agreement is made in two copies, with identical and accurate content. The parties have read and understood all its provisions and have affixed their signatures as evidence.
